Terms of Service

1. Acceptance of Terms

By creating an account or otherwise accessing or using ArborCloud, Inc.'s API and dashboard (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you use the Service on behalf of an organization, you represent that you have authority to bind that organization, and "you" refers to both you and it. If you do not agree, do not use the Service.

2. Description of Service

ArborCloud provides API access to third-party and self-hosted AI language models ("Token Factory"), together with optional dedicated-capacity ("Managed Inference"), fine-tuning, and self-hosted deployment offerings. Managed Inference, fine-tuning, and self-hosted deployments are provided under a separate order or agreement negotiated with our sales team and are supplemental to, not a replacement for, these Terms.

3. Accounts & Organizations

  • You must provide accurate account information and keep it up to date
  • You are responsible for safeguarding your API keys and for all activity that occurs under them
  • If you create or join an organization account, all members share a single billing balance and budget. Organization admins can view usage and spend across the whole organization; individual members can view only their own usage
  • Notify us promptly at the contact below if you suspect unauthorized use of your account or keys

4. Billing, Credits & Auto-Recharge

  • New accounts receive a one-time credit once a payment method is verified; it does not apply before verification and is not transferable or redeemable for cash
  • Usage is metered per API request based on tokens processed and billed against your available balance
  • You may enable auto-recharge, which authorizes us to automatically charge your saved payment method a preset amount once your balance falls below a threshold you configure. You can disable auto-recharge or update your payment method at any time from your billing settings
  • Payments are processed by Stripe; by adding a payment method you also agree to Stripe's terms for the payment services it provides
  • Fees are exclusive of applicable taxes, which you are responsible for unless we are required to collect them
  • Credit purchases and top-ups are generally non-refundable except where required by law or as we determine in our discretion (for example, a billing error on our part)
  • We may change our prices; changes will apply to usage going forward and will not retroactively change amounts already billed

5. Acceptable Use

You agree not to use the Service to:

  • Generate content that is illegal, or that facilitates the exploitation or harm of minors
  • Violate any applicable law or regulation
  • Infringe or misappropriate the intellectual property or other rights of any third party
  • Attempt to bypass usage limits, rate limits, or security measures, or interfere with the Service's normal operation
  • Reverse-engineer or extract the underlying model weights of models we host, except to the extent applicable law prohibits this restriction
  • Resell raw API access without our prior written consent

We may suspend or terminate access for use that violates this section, with notice where practicable.

6. Your Content & Outputs

As between you and us, you retain ownership of the prompts you submit ("Input") and, to the extent permitted by applicable law and the terms of the underlying model, the responses generated for you ("Output"). You are responsible for ensuring you have the necessary rights to submit your Input. Because Output is generated by machine learning models, it may be inaccurate, incomplete, or resemble content from elsewhere; you are responsible for evaluating Output before relying on it, and for complying with any additional license terms attached to a specific model (noted on that model's page) that apply to your use of its Output.

7. Service Availability

We aim for high availability but do not guarantee the Service will be uninterrupted or error-free, except to the extent set out in a separate service-level agreement you have signed with us (for example, as part of a Managed Inference order). We may modify, suspend, or discontinue any part of the Service, including individual models, with reasonable notice where practicable.

8. Termination

You may stop using the Service and close your account at any time from your account settings. We may suspend or terminate your access if you materially breach these Terms, including Section 5, or if required by law. On termination, your right to use the Service ends immediately; any remaining credit balance is handled per Section 4, and provisions that by their nature should survive termination (including Sections 6, 9, and 10) continue to apply.

9. Disclaimers

THE SERVICE, INCLUDING ALL MODEL OUTPUT, IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT MODEL OUTPUT WILL BE ACCURATE OR RELIABLE.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ARBORCLOUD WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE THREE MONTHS BEFORE THE CLAIM AROSE, OR (B) $100. Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.

11. Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-law principles, and any dispute not otherwise resolved will be brought in the state or federal courts located in Delaware, except where applicable consumer-protection law requires otherwise.

12. Changes to These Terms

We may update these Terms as the Service evolves. We will update the "Last updated" date above and, for material changes, provide additional notice before the change takes effect. Continued use of the Service after a change takes effect constitutes acceptance of the updated Terms.
